Tabulox is a subscription tool for quoting, invoicing, and tracking receivables. You own your account and your clients’ data; we just run the software. Payments are handled by Stripe and settle directly into your own Stripe account — we never hold your money. Cancel anytime, and if we ever suspend or end your account, we’ll act reasonably and tell you why.
1 Agreement to these terms
These Terms of Service (“Terms”) form a contract between you and Sparkle Intelligence (“Tabulox,” “we,” “us”). They apply to the Tabulox website and app (the “Service”). By creating an account or using Tabulox, you agree to these Terms. If you’re accepting them on behalf of a business, you confirm you have the authority to bind that business, and “you” refers to that business as well as you personally.
If you don’t agree to these Terms, don’t use Tabulox.
2 The Tabulox service
Tabulox lets you manage clients, build quotes and proposals, send contracts, invoice for work, accept card and ACH payments, and track receivables. We may add, change, or remove features over time, and we’ll try to give you reasonable notice before a change that materially reduces what a paid plan includes.
3 Accounts and eligibility
You must be at least 18 and able to form a binding contract to create an account. You’re responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for everything that happens under your account, including actions by team members you invite. Tell us right away at legal@sparkleintelligence.com if you suspect unauthorized access.
4 Your content and your clients’ data
You keep ownership of the content you put into Tabulox — your quotes, proposals, invoices, files, and the information about your clients. You’re responsible for having the right to use and upload it, and for how you handle your own clients’ data. You grant us a limited license to host, process, and display your content solely to provide and support the Service. See our Privacy Policy for how we handle personal information, including your role as the controller of your clients’ data and ours as your processor.
You can export or delete your data at any time from within the app, and you can request account deletion by contacting us — subject to records we’re legally required to keep, such as payment and tax records.
5 Subscriptions, trials, and billing
Paid plans are billed in advance on a monthly or annual cycle, as shown on our pricing page. New accounts get a 14-day free trial with full access and no card required. If you don’t subscribe before the trial ends, your account is paused, not deleted — your data is kept and the account resumes normally once you subscribe.
You can upgrade, downgrade, change your billing interval, or cancel at any time from your billing settings. Changes to your plan take effect at your next billing cycle, and cancellation stops future charges but doesn’t refund the current billing period unless we say otherwise or the law requires it. Fees are exclusive of applicable taxes, which we may collect where required. If a payment fails, we may retry it, suspend paid features, or downgrade your account until it’s resolved.
6 Payments and Stripe
When you accept payments through Tabulox, those payments are processed by Stripe under Stripe’s own terms, and funds settle directly into your own Stripe-connected account. Tabulox never holds, delays, or takes custody of your funds — we’re a software tool your clients pay through, not a bank or payment processor ourselves. In exchange for that infrastructure, Tabulox charges a flat platform fee on payments you collect through the Service, as described on our pricing page; Stripe’s own processing fees apply separately. You’re responsible for maintaining a Stripe account in good standing and for complying with Stripe’s terms and restricted-business rules.
7 Acceptable use
Use Tabulox lawfully and in good faith — to quote and invoice for real work, for clients you actually have the right to bill. The full rules, including prohibited activities and how we enforce them, are in our Acceptable Use Policy, which is part of these Terms. Violating it is a violation of these Terms.
8 Intellectual property
Tabulox and its underlying software, design, and branding are owned by Sparkle Intelligence and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business while your subscription is active. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service itself. This doesn’t affect your ownership of your own content under section 4.
9 Third-party services
Tabulox relies on third-party providers to operate — Stripe for payments, Google for sign-in, and cloud infrastructure for hosting, among others. Your use of features built on those providers is also subject to their own terms. We aren’t responsible for outages, changes, or actions by third-party providers that are outside our control, though we’ll work to minimize the impact on you.
10 Disclaimer of warranties
Tabulox is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee the Service will be uninterrupted, error-free, or completely secure, and we’re not responsible for decisions you make based on information in the Service, such as aging or risk indicators, which are informational rather than financial or legal advice.
11 Limitation of liability
To the fullest extent the law allows, Sparkle Intelligence won’t be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of Tabulox — even if we’ve been advised of the possibility. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you were on a free trial. Some jurisdictions don’t allow these limitations, so they may not fully apply to you.
12 Indemnification
You agree to defend, indemnify, and hold Sparkle Intelligence harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of Tabulox, your content, your violation of these Terms or the Acceptable Use Policy, or your violation of any law or a third party’s rights.
13 Suspension and termination
You can cancel your account at any time from your billing settings. We may suspend or terminate your access if you materially breach these Terms — including the Acceptable Use Policy — and don’t fix it after we notify you, or immediately for serious issues like fraud, non-payment, or a threat to the Service or its users. On termination, your right to use the Service ends, though provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — continue to apply.
14 Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved through individual, binding arbitration rather than in court, except that either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information. There is no right or authority for any dispute to be brought as a class, consolidated, or representative action.
15 Changes to these terms
We may update these Terms as Tabulox or the law changes. For material changes, we’ll update the date above and give account owners reasonable notice, such as an email or an in-app notice, before the change takes effect. Continuing to use Tabulox after a change takes effect means you accept the updated Terms; if you don’t agree, you should stop using the Service and cancel your account.
